PLAYER SPONSORSHIP AGREEMENT Sportsvestment LLC Version 1.0 | Effective October 31, 2025 ═══════════════════════════════════════════════════════════════════ AGREEMENT OVERVIEW This Player Sponsorship Agreement ("Agreement") is entered into between Sportsvestment LLC ("SV," "we," "us," or "Platform") and the sponsoring entity ("Sponsor," "you") when you complete a player sponsorship payment through the SV Network. By submitting sponsorship payment, you agree to all terms of this Agreement. ═══════════════════════════════════════════════════════════════════ 1. SPONSORSHIP TERMS 1.1 Sponsorship Payment Sponsor agrees to pay the specified sponsorship amount to support a designated SV content creator ("Player"). All payments are: • Non-refundable • Processed exclusively via cryptocurrency (Bitcoin/USDC) • All other payment types will be at the discretion of the Platform. Non Bitcoin payments may be subject to holds before sponsorship coins are delivered. • Final upon receipt – no chargebacks permitted • Not contingent on player performance or results 1.2 Payment Allocation Sponsorship payments are allocated as follows: • Player receives SV Coin allocation to their account for platform participation • Player must participate in platform activity equal to at least 1x the coin allocation before withdrawal eligibility • Any coins earned by Player are subject to the standard creator revenue split (80% Player, 20% Platform) • Coins that remain unused expire after 6 consecutive months of account inactivity and are added back to the player pool to be distributed at the discretion of the SV Network 1.3 No Financial Return Sponsor acknowledges and agrees that: • Sponsorship provides promotional value only, not financial return • Sponsor has no claim to any winnings, earnings, or revenue generated by Player • Sponsor receives no ownership interest in Player content or activities • This is an advertising arrangement, not an investment by any means ═══════════════════════════════════════════════════════════════════ 2. SPONSOR VISIBILITY 2.1 Promotional Exposure In exchange for sponsorship payment, Sponsor receives promotional exposure that can include: • Public announcement and recognition on platform shows and content • Social media acknowledgment via platform and/or sponsored player accounts • Brand mentions during relevant player appearances and content • General platform visibility as determined by SV in its sole discretion 2.2 No Guarantees Specific placement, frequency, duration, and format of brand mentions are at SV's sole discretion. Sponsor acknowledges: • No minimum impressions, views, or reach guaranteed • No specific metrics or analytics provided • No control over timing, format, or content of mentions • Promotional exposure may vary based on platform operations and player activity 2.3 Content Approval SV reserves the right to: • Determine how and when Sponsor is mentioned • Decline to promote sponsors that conflict with platform values • Modify or remove sponsor mentions at any time • Feature multiple sponsors simultaneously ═══════════════════════════════════════════════════════════════════ 3. SPONSOR OBLIGATIONS & RESTRICTIONS 3.1 Payment Requirements Sponsor must: • Submit payment via approved cryptocurrency methods only • Provide accurate business/contact information • Comply with all applicable laws and regulations • Not attempt chargebacks or payment reversals 3.2 Prohibited Activities Sponsor must not: • Attempt to control, direct, or influence Player activities • Demand specific performance or results from Player • Request refunds or claim non-performance • Harass, contact, or pressure Player directly regarding sponsored activity • Misrepresent the nature of the sponsorship arrangement • Claim ownership or financial interest in Player earnings 3.3 No Player Control Sponsor acknowledges that: • Player is an independent party with no obligation to Sponsor • SV facilitates the sponsorship but does not control Player behavior • Player performance, activity level, and content are beyond Sponsor control • Sponsor has no recourse against Player for any reason ═══════════════════════════════════════════════════════════════════ 4. TERM & TERMINATION 4.1 Agreement Duration This Agreement takes effect upon payment receipt and governs the sponsorship arrangement. No ongoing obligations exist after promotional visibility has been provided. 4.2 Early Termination SV may terminate this Agreement and suspend promotional activities immediately if: • Sponsor violates this Agreement • Sponsor engages in illegal activities or commits fraud in any way • Sponsor damages platform reputation • Sponsor harasses players or users No refunds will be issued upon termination. Coins already credited to players remain active per standard terms. 4.3 Effect of Termination Upon termination: • Sponsor loses all rights to promotional visibility • No refunds or credits issued • Coins remain in Player account per platform rules • Sponsor must cease all claims to association with SV or Player ═══════════════════════════════════════════════════════════════════ 5. REPRESENTATIONS & WARRANTIES 5.1 Sponsor Representations Sponsor represents and warrants that: • It has legal authority to enter this Agreement • Payment funds are legally obtained and not proceeds of illegal activity • It will comply with all applicable laws • It understands this is promotional, not an investment • It has no expectation of financial return 5.2 Platform Representations SV represents that: • It operates a legitimate content and promotional platform • Sponsored coins will be credited to the designated Player account • It will make good faith efforts to provide agreed promotional visibility 5.3 NO OTHER WARRANTIES EXCEPT AS EXPRESSLY STATED, SV PROVIDES SPONSORSHIP SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ═══════════════════════════════════════════════════════════════════ 6. LIMITATION OF LIABILITY 6.1 Maximum Liability SV's total liability under this Agreement shall not exceed the amount of the sponsorship payment. In no event shall SV be liable for: • Indirect, incidental, special, consequential, or punitive damages • Loss of profits, revenue, data, or business opportunities • Player performance, behavior, or inactivity • Technical issues, platform downtime, or service interruptions • Third-party actions or claims 6.2 Risk Acknowledgment Sponsor acknowledges and accepts the following risks: • Player may lose all sponsored coins during platform participation • Player may not use sponsored coins or may use them minimally • Promotional visibility may be less than anticipated • Platform may experience technical issues • No specific return on sponsorship investment is guaranteed 6.3 Indemnification Sponsor agrees to indemnify and hold harmless SV, its officers, directors, employees, and affiliates from all claims, damages, losses, and expenses (including legal fees) arising from: • Sponsor's breach of this Agreement • Sponsor's violation of laws or third-party rights • Sponsor's interactions with Players or users • Any misrepresentation by Sponsor regarding the sponsorship ═══════════════════════════════════════════════════════════════════ 7. DISPUTE RESOLUTION 7.1 Informal Resolution Before pursuing formal dispute resolution, parties agree to attempt good-faith negotiation by contacting SV support at sponsors@sportsvestment.com. 7.2 Binding Arbitration Any disputes not resolved informally within 30 days will be resolved exclusively through binding arbitration under the American Arbitration Association rules. • Individual Disputes Only: No class action arbitrations or lawsuits • Location: Wyoming or via video conference • Costs: Each party bears their own legal costs • Waiver of Jury Trial: Both parties waive the right to trial by jury 7.3 Governing Law This Agreement is governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. ═══════════════════════════════════════════════════════════════════ 8. GENERAL PROVISIONS 8.1 Entire Agreement This Agreement constitutes the entire agreement between Sponsor and SV regarding player sponsorships and supersedes all prior agreements or understandings. 8.2 Modifications SV may modify this Agreement at any time by posting updated terms. Continued sponsorship activity after changes constitutes acceptance. Modifications apply to future sponsorships, not existing ones. 8.3 Severability If any provision is found unenforceable, the remaining provisions remain in full effect. 8.4 No Waiver Failure to enforce any provision does not waive the right to enforce it later. 8.5 Assignment Sponsor may not assign this Agreement. SV may freely assign to any successor or affiliate. 8.6 Notices Official notices will be sent to the email address provided during sponsorship payment. Sponsor is responsible for keeping contact information current. 8.7 Independent Relationship This Agreement does not create a partnership, joint venture, agency, or employment relationship between Sponsor and SV. 8.8 Force Majeure Neither party is liable for delays or failures due to circumstances beyond reasonable control. ═══════════════════════════════════════════════════════════════════ SPONSOR SUPPORT Questions about sponsorships?
